MOBX TERMS AND CONDITIONS

1. INTRODUCTION
Welcome to MOBX ("MOBX", "we", "our", or "us").
These Terms and Conditions govern your access to and use of the MOBX mobile application, website, and related services (collectively, the "Platform").
By creating an account, browsing the Platform, booking services, offering services, making payments, receiving payments, or otherwise using the Platform, you agree to be bound by these Terms and Conditions.
If you do not agree to these Terms, you must not use the Platform.
2. MOBX IS A MARKETPLACE PLATFORM
MOBX operates solely as an online marketplace that allows Customers and independent Professionals to connect with one another.
MOBX does not provide the services advertised by Professionals.
MOBX does not employ, supervise, direct, manage, train, endorse, recommend, guarantee, certify, or control Professionals.
MOBX is not a contractor, subcontractor, agency, insurer, guarantor, representative, employer, or partner of any Professional.
Any agreement for services is entered into directly between the Customer and the Professional.
MOBX's role is limited to providing software, scheduling, communication, and payment processing functionality.
3. PROFESSIONALS ARE INDEPENDENT BUSINESSES
All Professionals using MOBX operate as independent businesses and not as employees, workers, agents, partners, representatives, or contractors of MOBX.
Professionals are solely responsible for:

Their business activities;

Their tax obligations;
-
Licences and certifications;
-
Insurance arrangements;
-
Legal compliance;
-
Service delivery;
-
Customer relationships.
Nothing in these Terms shall be interpreted as creating an employment, partnership, agency, joint venture, or similar relationship between MOBX and any Professional.
4. PROFESSIONALS ARE NOT VETTED
MOBX does not routinely conduct background checks, criminal record checks, identity verification, qualification verification, licence verification, insurance verification, or reference checks on Professionals.
Professionals may join the Platform without undergoing any verification process conducted by MOBX.
MOBX makes no representation or warranty regarding:

Identity;
-
Qualifications;
-
Experience;
-
Insurance;
-
Competence;
-
Suitability;
-
Licensing;
-
Professional standards;
-
Character;
-
Trustworthiness.
Customers acknowledge and accept that Professionals are not vetted by MOBX and that any decision to hire a Professional is made entirely at the Customer's own risk.
Customers are solely responsible for carrying out any checks they deem necessary before engaging a Professional.
5. ACCESS TO PROPERTY AND PERSONAL SAFETY
Customers acknowledge that bookings made through MOBX may involve inviting Professionals onto private property, into homes, businesses, vehicles, or other locations.
Customers are solely responsible for deciding whether to permit a Professional access to their property.
MOBX does not guarantee the honesty, safety, suitability, competence, behaviour, reliability, qualifications, experience, or conduct of any Professional.
Customers assume all risks associated with allowing any Professional onto their property.
To the fullest extent permitted by law, MOBX shall not be liable for:

Theft;

Property damage;
-
Criminal acts;
-
Fraud;
-
Misrepresentation;
-
Negligence;
-
Assault;
-
Personal injury;
-
Death;
-
Any other acts or omissions committed by Professionals.
6. NO INSURANCE PROVIDED BY MOBX
Unless expressly stated otherwise in writing, MOBX does not provide insurance coverage for:

Customers;
-
Professionals;
-
Property damage;
-
Personal injury;
-
Theft;
-
Service disputes;
-
Lost income;
-
Professional negligence;
-
Professional misconduct.
Customers must not assume that a Professional is insured simply because they appear on the Platform.
Professionals are solely responsible for obtaining and maintaining any insurance required for their services.
Customers are responsible for verifying insurance coverage directly with the Professional where such coverage is important to them.
MOBX shall not be liable for any losses arising from a Professional lacking insurance or having insufficient insurance coverage.
7. CUSTOMER RESPONSIBILITIES
Customers are responsible for:

Reviewing Professional profiles;

Conducting their own due diligence;
-
Verifying qualifications where necessary;
-
Checking insurance where appropriate;
-
Requesting references if desired;
-
Accurately describing required services;
-
Protecting their own property and possessions.
Customers acknowledge that any decision to hire a Professional is their sole responsibility.
8. PROFESSIONAL RESPONSIBILITIES
Professionals are solely responsible for:

Services performed;
-
Information provided on the Platform;
-
Compliance with applicable laws;
-
Obtaining necessary licences;
-
Maintaining insurance where required;
-
Delivering services safely and professionally;
-
Resolving customer complaints relating to their services.
Professionals warrant that all information provided to MOBX is accurate and not misleading.
9. PAYMENTS
Payments are processed through Stripe and other authorised third-party payment providers.
By using the Platform, users agree to comply with the terms and policies of the applicable payment provider.
MOBX does not store complete payment card details.
MOBX is not responsible for:

Payment processor outages;
-
Failed transactions;
-
Delayed transactions;
-
Chargebacks;
-
Fraud investigations;
-
Frozen accounts;
-
Regulatory reviews;
-
Withheld payouts;
-
Account restrictions imposed by payment providers.
Professionals acknowledge that payment providers may delay, suspend, reverse, withhold, or reject payouts for reasons beyond MOBX's control.
MOBX shall not be liable for losses resulting from such actions.
10. SUBSCRIPTIONS
Certain features of the Platform may require an active Professional subscription.
Subscription fees are charged automatically until cancelled.
Subscription fees are non-refundable except where required by law.
MOBX reserves the right to suspend access to Professional features where subscription payments are overdue.
11. BOOKINGS AND SERVICE CONTRACTS
When a booking is made through the Platform, the service contract exists solely between the Customer and the Professional.
MOBX is not a party to that contract.
MOBX does not guarantee:

Service quality;
-
Service completion;
-
Professional attendance;
-
Customer payment;
-
Customer behaviour;
-
Booking outcomes.
MOBX shall not be responsible if:

A Professional fails to attend;
-
A Professional performs services inadequately;
-
A Professional abandons work;
-
A Customer refuses payment;
-
A Customer makes false complaints;
-
A dispute arises between users.
All such matters remain solely between the Customer and the Professional.
12. CANCELLATIONS AND REFUNDS
Cancellation rights may vary depending on the service booked.
Unless required by law, MOBX is not responsible for refunding payments due to disputes regarding:

Quality of work;
-
Customer satisfaction;
-
Service outcomes;
-
Attendance;
-
Professional conduct.
Refund requests relating to technical issues, duplicate payments, fraud, or billing errors may be reviewed by MOBX at its discretion.
13. DISCLAIMER OF WARRANTIES
The Platform is provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, MOBX disclaims all warranties, guarantees, conditions, and representations whether express, implied, statutory, or otherwise.
MOBX does not guarantee:

Platform availability;
-
Platform security;
-
Service quality;
-
Professional reliability;
-
User conduct;
-
Booking outcomes;
-
Accuracy of information.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law, MOBX shall not be liable for:

Personal injury;
-
Death;
-
Property damage;
-
Theft;
-
Fraud;
-
Negligence;
-
Professional malpractice;
-
Service failures;
-
Lost profits;
-
Business interruption;
-
Emotional distress;
-
Consequential losses;
-
Indirect losses.
Where liability cannot legally be excluded, MOBX's total aggregate liability shall not exceed the greater of:
(a) £100; or
(b) the total amount paid directly to MOBX by the claimant during the preceding twelve months.
Nothing in these Terms excludes liability where exclusion is prohibited by law.
15. USER DISPUTES
Customers and Professionals are solely responsible for resolving disputes between themselves.
MOBX is not responsible for investigating, mediating, arbitrating, or resolving disputes.
MOBX may, at its sole discretion, facilitate communication between users but is under no obligation to do so.
16. INDEMNITY
Users agree to indemnify and hold harmless MOBX, its directors, employees, contractors, shareholders, affiliates, successors, and agents from any claims, liabilities, losses, damages, judgments, costs, expenses, or legal fees arising from:

Use of the Platform;

Services booked through the Platform;
-
Services provided through the Platform;
-
Breach of these Terms;
-
Disputes between users;
-
Violations of applicable laws.
17. ACCOUNT SUSPENSION AND TERMINATION
MOBX may suspend, restrict, or terminate accounts at any time where reasonably necessary to:

Protect users;
-
Prevent fraud;
-
Investigate complaints;
-
Comply with legal obligations;
-
Protect MOBX's business interests.
18. PRIVACY
Personal information is processed in accordance with the MOBX Privacy Policy.
19. CHANGES TO THESE TERMS
MOBX may amend these Terms from time to time.
Continued use of the Platform following publication of updated Terms constitutes acceptance of those changes.
20. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
